1. Acceptance of Terms

By accessing, registering for, or using the QuantNote application (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.

2. Description of the Service

QuantNote is a financial technology application providing tools for tracking stock metrics, utilizing a virtual trading simulator, and generating AI-synthesized analyst reports. The Service is a Progressive Web Application designed strictly for general informational and educational purposes.

3. Account Registration and Security

To access certain features, such as the trading simulator, you must register for an account.

• You agree to provide accurate and complete information during registration.
• You are solely responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

4. No Financial Advice

The information provided through the Service is for general informational and educational purposes only. QuantNote is not a registered investment advisor or broker-dealer. The Service does not constitute financial, investment, legal, or tax advice. You are solely responsible for evaluating the merits and risks associated with the use of any information provided by the Service before making any real-world investment decisions. Any ‘fair value’, rating, or analytical output is generated algorithmically and does not constitute a recommendation to buy, sell, or hold any security.

5. Artificial Intelligence and Data Accuracy

The Service utilizes artificial intelligence (AI) to aggregate and synthesize financial data and analyst reports. AI systems are subject to limitations and can produce errors, hallucinations, or outdated information. QuantNote makes no warranties or representations regarding the accuracy, completeness, reliability, or timeliness of any AI-generated insights, stock metrics, or simulated market data. Past performance in the simulator is not indicative of future real-world results.

6. Acceptable Use and Prohibited Conduct

You agree to use the Service only for its intended lawful purposes. You strictly agree NOT to:

• Use the Service to execute, or attempt to execute, real-world trades or financial transactions.
• Reverse engineer, decompile, or disassemble any aspect of the application.
• Scrape, extract, or automatically collect data (including stock metrics and AI reports) from the Service or its underlying APIs using bots, spiders, or other automated means.
• Interfere with or disrupt the performance, security, or integrity of the Service or its servers.

7. Intellectual Property

All content, features, and functionality of the Service—including but not limited to the codebase, user interface, design, and AI synthesis methodology—are owned by QuantNote and are protected by international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

8. Termination

We reserve the right to suspend or terminate your account and your access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

9. Limitation of Liability

To the fullest extent permitted by applicable law, QuantNote, its founders, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to financial losses, loss of profits, data loss, or business interruption, arising out of or related to your use of, or inability to use, the Service or any AI-generated content therein.

10. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them shall be governed by and construed strictly in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. Any legal actions or proceedings shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.

11. Changes to the Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by updating the “Last Updated” date at the top of this document or via email. Your continued use of the Service following any changes constitutes your acceptance of the new Terms.

12. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or entirely secure.
